CHARTER OF MONGOLIAN HUMAN
DEVELOPMENT
ASSOCIATION
Name
The name of the Association shall be the Mongolian Human Development Association,
abbreviated to MHDA.
Objectives
The Objectives of the Association shall be:
- To study major factors of human development
and include those factors in the state policy of Mongolia,
- To promote the study and development of the
science of demography,
- To put in place a guarantee of favorable
conditions for everybody to get education and to live in healthy environment,
- To ensure equal political and social rights
for different sexes,
- To preserve the nature, which is one of
essential conditions for human, development, clean and healthy, and give exceptional
attention to its reserve and reproduction,
- To analyze and assess all documents related
to human development law, and Social protection law, and determine ways to solve human
development issues,
- To improve performance and increase positive
impacts of social systems which serve for human development,
- To extend international relations in the
field of training and research on human development issues,
To develop close cooperation
with all government and non-government organizations of Mongolia on human development
issues.
Membership
1. Ordinary membership shall be open to all persons, government institutions, other
organizations and firms who accept the Associations charter.
2. Members obligations and rights:
- To help to accomplish the Associations
charter, goals, objectives and activities,
- Ordinary members shall have full rights to
attend General meeting of members and give ones opinion about the Associations
activities,
- To elect and to be elected to the ruling
body of the Association,
- To have access to information about the
activities of the Association,
- To give donation for promotion the
activities of the Association.
Organizational structure and internal
Control
1. General meeting of members shall be
the highest authority of the Association.
2. General meeting of members shall be held once a year. A quorum shall
consist of two-thirds of the registered members. The decisions at the General meeting of
members shall be made by a majority of votes cast at a meeting.
3. The General meeting of members shall implement the following mandates:
- to approve the Associations charter
and amendments to it,
- to appoint the President and the members of
the Administration Council of the Association,
- to discuss the reports of the Administration
Council and make a conclusion,
- to discuss the reports of the Control
Council and make a conclusion.
4.The Administration Council shall
implement the following authority:
- to introduce the amendments and changes to
the charter of the Association,
- to submit issues about dissolution and
reorganization of the Association to the General meeting of members,
- to approve the Associations annual
budget,
- to appoint and dismiss Executive Director of
the Association and hear his/her reports,
- to determine the power of the Executive
Director for handling of the Associations funds by him/her,
- to approve organizational structure and
budget of Administration Unit.
5. The Administration Council shall have
5-9 members.
6. The President shall be a head of the Associations Administration
Council.
7. General meeting of members shall elect the Administration Council for two
years.
8. The Administration Council shall have an authority for changing of own
composition up to 40 per cent. The member of the Administration Council may present
his/her request to be dismissed, to the head of the Council.
9. The Administration Council shall meet once a three months. A quorum shall
consist of two-thirds of the Councils members and a majority shall make the
decisions.
10. The Administration Council shall observe the following rules for making
decisions:
- The members of the Administration Council
shall have equal rights for decision making about any issues.
- Voting shall be by the voices or by show of
hands except where a ballot is requested by a member.
- In case if a member of the Administration
Council has conflict of interests on issues under discussions at the meeting he/she can
explain and take no part in voting.
11. The President shall implement the following authority and
obligations:
- The President shall represent the
Association on all official occasions and shall have power conclude agreements on its
behalf.
- The President shall preside over the
meetings of the General meeting and the Administration Council.
- To sign on decisions, those were from
meetings of the Administration Council
- To lead implementation of the plans and
activities of the Association and report about own work at the General meeting
- To make contract with Executive Director
that based on the decision of the Administration Council
- To decide problem which is about to entrust
with work by full time of an officer who is responsible for definite work within the
project.
12. The Executive Director shall
implement the following authority:
- The Executive Director shall represent the
Association within power By- Administration Council and incur necessary expenditure for
the work of the Association.
- The other rights, indicated in the contract.
13. Dissolution of the
Associations Administration Council and resignation of the Associations
President: -
Any resolution to dissolve the
Administration Council shall be referred to all the members by a poll and dissolution
shall require a two-thirds majority of the members of the Association to be resolved.
- In case violated the law of Mongolia by
them.
- In case of reference of health center that
it is impossible to fulfill ones duty by the health situation.
- By written voluntary resignation
14. The General meeting of members shall
appoint Control Council of the Association. The Control Council shall have 3-5 members.
15. The Control Council of the Association shall implement the following
authority and obligations:
a. To
control to the implementation of the Associations charter and Decisions at meetings.
b. The Control Council shall make an annual audit of
the books and accounts of the Association each financial year.
c. A property audited financial statement shall be
presented to the General meeting of members for discussion.
d. A member of the Control Council shall participate
in the Administration Councils meeting with "right for consult"
16. The Association shall have
representatives who qualified in the field of human development in the each province and
each district of a capital city. And the Association shall conduct a training seminar for
the representatives once a six months.
17. It is possible to establish voluntarily groups that completed by people
and many other organizations which supporting activity of human development rights.
18. The Association may be have own press. The Executive Director shall
manage problems for press and information.
